ACADEMY LOCATION ACCESS AND MEMBERSHIP SCOPE
Lineage BJJ LLC and Calvert MMA Academy LLC operate as separate companies but allow members reciprocal access to both facilities for standard martial arts classes included in their membership plan.
Members may train at either academy without additional charge for regularly scheduled martial arts classes covered under their membership agreement.
Members relocating between counties may designate either academy as their home training location.
Memberships apply only to regularly scheduled martial arts classes offered as part of the Academy’s standard curriculum.
Special programs and events are not included in membership, including but not limited to:
• seminars
• specialty clinics
• camps
• competition camps
• fast-track programs
• yoga classes
• private lessons
• workshops
• guest instructor events
• or other specialty training programs offered by the Academy
These programs may require separate registration and additional fees.
Throughout this agreement, Lineage BJJ LLC and Calvert MMA Academy LLC are collectively referred to as “the Academy.”
PAYMENT AUTHORIZATION AND AGREEMENT COMPLIANCE
I authorize the Academy to charge my payment method for recurring membership fees and any applicable fees in accordance with this agreement.
I agree:
• to maintain valid and current billing information at all times
• to notify the Academy in writing at least 30 business days prior to any billing changes
• that all cancellations must be submitted through the GymDesk member app in accordance with the terms of this agreement
• that stopping payment, disputing charges, or canceling a payment method does not terminate this agreement
Members agree not to dispute legitimate charges with their bank or credit card provider.
Disputing legitimate charges may constitute fraudulent or unjustified chargebacks and will be treated as a breach of this agreement.
Members remain responsible for all unpaid balances, declined payments, chargeback fees, collection costs, and reasonable attorney fees to the extent permitted by law.
PARENT / GUARDIAN FINANCIAL RESPONSIBILITY
When this agreement is signed for a minor participant, the individual signing this agreement as the Signatory accepts full financial responsibility for all payments and obligations under this membership agreement.
The Signatory acknowledges that a separate liability waiver, participation agreement, or other academy documents may be signed by a different parent, guardian, or authorized adult, and such circumstances do not alter the financial responsibility of the Signatory under this contract.
The Signatory further agrees that the financial obligations of this agreement remain valid regardless of which parent, guardian, or adult accompanies the minor member to training, signs waivers, or communicates with the Academy.
The Academy is not responsible for disputes between parents, guardians, or family members regarding financial responsibility for the membership.
MEMBERSHIP TERMS
Once this agreement is signed, refunds are not available except as specifically provided in this agreement.
Members may cancel this agreement within 72 hours of signing by submitting written notice through the GymDesk member app or other written communication approved by the Academy.
If cancellation occurs within this 72-hour period, any payments made will be refunded excluding enrollment or administrative fees, if applicable.
After the 72-hour cancellation period, refunds are not available.
Enrollment fees remain non-refundable because they activate insurance coverage, access to digital resources, and member services.
Membership accounts must remain current and in good standing. Refunds, cancellations, or termination requests will not be processed for accounts that are delinquent, on freeze, or on hold status.
EARLY TERMINATION OPTION
Members may terminate this agreement early by providing thirty (30) business days written notice through the GymDesk member app and paying seventy percent (70%) of the remaining contract balance, calculated at the time the termination request is received.
If termination occurs within the final three (3) months of the agreement, an administrative early termination fee of $299 will apply in place of the remaining balance calculation.
Membership accounts requesting early termination may not be placed on freeze or hold status. All membership payments must remain current and active during the notice period and until the termination process is completed.
Termination requests will not be processed for accounts that are delinquent, frozen, or on hold status.
Promotional offers, enrollment incentives, discounted or waived enrollment fees, trial credits, or promotional training time provided at the time of enrollment are conditional promotional incentives offered in consideration of the member completing the full agreement term.
If this agreement is terminated early for reasons other than verified relocation, death, or permanent medical disability, the Academy reserves the right to revoke or recover the value of any promotional incentives provided at enrollment, including but not limited to:
• trial program credits applied toward membership
• waived or discounted enrollment fees
• promotional discounts or special offers
• free or promotional training time
The value of any promotional training time may be calculated on a prorated basis using the member’s regular monthly membership rate.
Any recovered promotional incentive amounts may be added to the early termination balance owed and must be paid before termination is finalized.
RELOCATION CANCELLATION POLICY
Early termination due to relocation requires:
• valid proof of relocation (such as a new lease, mortgage, military orders, or utility bill)
• relocation of the member’s primary residence to a location more than 35 miles from any Academy location
The relocation must represent a permanent change of the member’s primary residence. Ownership of secondary homes, vacation homes, rental properties, temporary housing, or investment properties does not qualify for relocation cancellation if the member continues to reside within 35 miles of the Academy.
Relocation requests must be submitted within 30 days of the move and must include documentation confirming the new primary residence.
A $299 administrative early termination fee applies to relocation cancellations unless otherwise waived by the Academy.
Contracts may be transferred to an eligible immediate family member with approval from the Academy.
Membership agreements may also terminate in cases of verified death or permanent medical disability, supported by appropriate medical documentation.
Accounts requesting early termination may not be placed on freeze or hold status. All membership payments must remain current and active until the cancellation process is completed and any applicable administrative fees are paid.
The Academy reserves the right to review and verify all relocation or medical claims before approving early termination.
CLASS ACCESS STRUCTURE
Memberships are structured based on monthly class limits determined by the selected membership plan.
Individual membership plans currently include:
• 8 Classes Per Month
• 12 Classes Per Month
• Unlimited Training
Class-limited memberships are capped per calendar month.
Unused classes do not roll over, accumulate, or transfer into future months.
Open mat training sessions do not count toward monthly class limits.
Class access applies only to regularly scheduled martial arts classes included in the membership program. Special events, seminars, camps, clinics, private lessons, and other specialty programs are not included unless otherwise specified.
The Academy reserves the right to modify class schedules, program offerings, and training formats as necessary.
MEMBERSHIP FREEZE POLICY
Freeze requests must be submitted through the GymDesk member app so that requests are properly documented and reviewed by Academy staff.
Freeze fees must be paid in advance.
Current freeze rates:
• Individual memberships: $20 per month
• Family memberships: $30 per month
Freeze periods must be requested in monthly increments.
Annual Membership Agreements
Memberships under an annual agreement requiring twelve (12) consecutive full monthly payments are not eligible for freeze status during the initial contract term.
Members must complete the required twelve (12) consecutive full monthly payments before freeze privileges become available.
Extended absences during the annual agreement period may be addressed through the Extended Time Guarantee policy outlined below.
Month-to-Month Memberships
Once the required twelve (12) consecutive full monthly payments have been completed and the membership converts to month-to-month status, members may request a freeze in accordance with this policy.
Each freeze request may be for up to three (3) consecutive months.
Total freeze time may not exceed six (6) months within a calendar year, unless otherwise approved by the Academy.
Memberships may not be canceled while on freeze status. Members must first reactivate their membership and submit a cancellation request in accordance with the required thirty (30) business day notice period outlined in this agreement.
Access During Freeze
During an approved freeze period, members retain access to:
• the online academy
• member app resources
• digital curriculum materials
Freeze Period Pricing
Freeze periods do not pause the membership agreement timeline or delay scheduled membership rate adjustments.
Any applicable membership rate increases implemented during a freeze period will apply when the membership is reactivated.
The Academy reserves the right to review and approve all freeze requests.
EXTENDED TIME GUARANTEE (ANNUAL AGREEMENTS ONLY)
Annual membership agreements require twelve (12) consecutive full monthly payments and are not eligible for freeze status during the initial agreement term.
Members who anticipate a temporary absence during their annual agreement period may request an Extended Time Guarantee.
The Extended Time Guarantee allows members to temporarily pause training while continuing their scheduled monthly payments, and the missed training time will be added to the end of the membership term.
Extended Time Guarantee requests must:
• be submitted in advance through the GymDesk member app
• be requested before the absence begins
• specify the requested start and end dates
A $30 administrative processing fee applies to each Extended Time Guarantee request.
Extended Time Guarantee periods are limited to a maximum of three (3) months per annual agreement, unless otherwise approved by the Academy.
Membership payments continue as scheduled during the Extended Time Guarantee period, and the membership term will be extended by the approved time period after the initial agreement term is completed.
The Extended Time Guarantee is intended for temporary absences such as travel, school schedules, seasonal sports, injuries, or other temporary schedule conflicts, and is not intended to function as a cancellation or freeze during the annual agreement period.
Failure to request an Extended Time Guarantee in advance may result in the absence being counted as normal membership time.
The Academy reserves the right to review and approve all Extended Time Guarantee requests.
INJURY POLICY
Temporary injuries or medical conditions lasting less than ninety (90) days do not qualify for contract termination.
Members experiencing a temporary injury may request a membership freeze in accordance with the Membership Freeze Policy, if medically necessary.
The Academy may require reasonable medical documentation from a licensed medical professional verifying the injury or condition when evaluating freeze requests or other accommodations.
The Academy reserves the right to review, approve, deny, or request additional information regarding injury-related requests in order to prevent abuse of this policy.
Members are encouraged to communicate with instructors regarding injuries so that training activities may be modified when appropriate.
Permanent medical disability that prevents participation in martial arts training may qualify for contract termination, subject to appropriate documentation.
CONTRACT CONTINUATION AND ANNUAL PRICE ADJUSTMENTS
Upon completion of the initial twelve (12) month agreement term, this membership automatically converts to month-to-month billing and will continue indefinitely unless the member either:
• submits a written cancellation request through the GymDesk member app in accordance with the cancellation policy outlined in this agreement, or
• elects to renew into a new annual agreement offered by the Academy.
Members who renew into a new annual agreement may retain their current membership rate at the time of renewal, subject to the terms of the new agreement.
Members who choose to remain on month-to-month billing acknowledge that month-to-month memberships provide additional flexibility and convenience.
Month-to-month memberships will be subject to annual tuition adjustments to account for inflation and operating cost increases.
Membership rates will increase every twelve (12) months on the membership anniversary date by no less than three percent (3%) and no more than five percent (5%), based on the Consumer Price Index (CPI) or similar economic indicators.
Members will receive advance notice of any membership rate adjustments prior to the effective date of the new rate.
Membership rate adjustments apply regardless of attendance, training activity, freeze status, or inactivity, and freeze periods do not pause, delay, or extend the timing of scheduled annual price adjustments.
Members acknowledge and agree that completion of the initial agreement term does not automatically cancel membership, and billing will continue on a month-to-month basis until a proper written cancellation request is submitted through the GymDesk member app.
MEMBERSHIP UPGRADES AND DOWNGRADES
Members may upgrade their membership plan at any time. Upgrades may take effect immediately, and the updated membership rate may be applied immediately or beginning with the next billing cycle at the discretion of the Academy.
Downgrades to a lower membership tier require thirty (30) business days written notice submitted through the GymDesk member app and must comply with all terms of this agreement.
Downgrades may not be used to avoid contractual obligations, including minimum payment requirements, outstanding balances, or other terms of an active agreement.
Members must be current on all payments before any downgrade request will be processed.
Downgraded membership rates will take effect after the required notice period has been completed.
The Academy reserves the right to modify membership tiers, pricing structures, and program offerings as necessary.
CANCELLATION POLICY
Membership cancellations require thirty (30) business days written notice (approximately forty-two (42) calendar days).
Business days are defined as Monday through Friday, excluding federal holidays.
Cancellation requests must be submitted through the GymDesk member app to ensure proper documentation and processing.
Membership billing will continue during the required notice period, and the final payment will occur during this time.
Members must be current on all payments for a cancellation request to be processed.
Stopping payment, disputing charges, or canceling a payment method does not constitute valid cancellation of this agreement.
All cancellation requests must comply with the terms of this agreement, including any applicable minimum payment requirements.
LATE PAYMENT AND DEFAULT POLICY
Membership payments that are more than seven (7) days past due may incur a late fee of thirty-five dollars ($35.00).
If a payment remains unpaid after thirty (30) days, the membership account may be considered in default.
Upon default, the Academy reserves the right to take appropriate action, including but not limited to:
• suspending membership access and training privileges
• accelerating and charging the remaining balance due under this agreement, where applicable
• collecting outstanding late fees and unpaid balances
• referring the account to a collection’s agency
• pursuing any lawful legal remedies available under applicable law
Members agree to reimburse the Academy for reasonable costs associated with the collection of unpaid balances, including but not limited to court filing fees, service of process fees, administrative recovery costs, collection agency fees, attorney fees, and court costs, to the extent permitted by law.
The Academy reserves the right to deny participation in classes, training, or services until the account is brought current.
CHARGEBACK AND PAYMENT DISPUTE POLICY
Members agree that initiating a fraudulent, improper, or unjustified chargeback or payment dispute with a bank, credit card company, or financial institution for legitimate charges constitutes a material breach of this agreement.
Members acknowledge that stopping payment, disputing a charge, canceling a payment method, or requesting a chargeback does not cancel, terminate, or modify this agreement and does not relieve the member of their financial obligations under this contract.
Members further acknowledge that this agreement requires a minimum of twelve (12) consecutive full monthly payments, unless the agreement is otherwise terminated in accordance with the terms outlined in this contract.
If a chargeback or payment dispute is initiated for a legitimate charge, the member remains responsible for all amounts owed under this agreement, including but not limited to:
• unpaid membership balances
• remaining contractual payments
• late fees and administrative fees
• chargeback processing costs
• collection costs and recovery expenses
Members agree that the Academy may provide copies of this signed agreement, payment history, billing records, attendance records, and related documentation to financial institutions, payment processors, collection agencies, or courts as evidence in resolving the dispute.
Members further agree to reimburse the Academy for all reasonable costs incurred in responding to and recovering funds from an improper chargeback, including but not limited to:
• chargeback processing fees
• administrative recovery costs and staff time required to respond to the dispute
• collection agency fees
• court costs and filing fees
• attorney fees to the extent permitted by law
The Academy reserves the right to immediately suspend membership access, training privileges, and academy services until any disputed balances are resolved, and the account is brought current.
The Academy also reserves the right to pursue collections, legal remedies, or civil recovery actions to recover unpaid balances resulting from improper chargebacks or payment disputes.
Members agree to contact the Academy directly to resolve billing concerns prior to initiating a chargeback or payment dispute whenever possible.
MEMBER CONDUCT / NON-HARASSMENT / NON-DISPARAGEMENT
Members and parents/guardians agree to maintain respectful conduct toward Academy staff, instructors, and other members.
Harassment, intimidation, bullying, threats, or disruptive behavior toward staff or members is prohibited.
Members also agree not to publish false, defamatory, or misleading statements about the Academy, its instructors, staff, or members.
Concerns regarding policies or services should be directed to the Academy through official communication channels so they can be addressed appropriately.
Violation of this policy may result in suspension or termination of membership privileges.
Such termination does not relieve the Member of outstanding financial obligations owed to the Academy.
INTRODUCTORY OFFER POLICY
Introductory offers, including promotional programs such as the Foundations Pass, are available to first-time students only and may be redeemed one time per person.
Introductory offers may not be repeated, transferred, shared, or combined with other promotional offers.
The Academy reserves the right to verify eligibility and deny promotional pricing if a participant has previously trained, enrolled, or redeemed a prior introductory offer.
MEDIA AND RECORDING POLICY
Members and guests are welcome to take photographs or short videos within the facility, provided that such recording does not interfere with instruction, disrupt classes, or violate the privacy of other members.
Recording during active instruction, technique demonstration, or curriculum instruction is prohibited unless expressly authorized by an instructor.
Members agree not to record, publish, or distribute video or audio that reveals instructional methods, curriculum content, proprietary training material, or other instructional material considered part of the Academy’s teaching system without prior written permission.
Members also agree not to post or distribute content that may misrepresent the Academy, damage its reputation, violate music or copyright laws, or create liability for the Academy.
The Academy reserves the right to request the removal of any photos, videos, recordings, or social media posts originating from within the facility that violate this policy or may negatively impact the Academy, its members, staff, or business operations.
Members grant the Academy permission to use photographs or video taken during classes, seminars, or events for promotional, educational, or marketing purposes, unless a written opt-out request is submitted.
RULES, SAFETY POLICIES, AND MEMBER COMPLIANCE
Members and the parents or guardians of minor members agree to comply with all Academy rules, safety policies, conduct standards, and etiquette guidelines, which are designed to maintain a safe and professional training environment.
These rules and policies may be updated periodically and made available through the member app, posted policies, or official Academy communications.
Failure to comply with Academy rules, safety standards, or instructor direction may result in disciplinary action, including:
• verbal warning
• written warning
• temporary suspension of training privileges
• permanent termination of training privileges
The Academy reserves the right to take disciplinary action when conduct threatens the safety of members, disrupts instruction, or harms the training environment.
Termination or suspension of training privileges due to rule violations does not cancel the member’s financial obligations under this agreement.
Members who lose training privileges due to conduct violations remain responsible for all remaining contractual payments and obligations.
MEMBER AND PARENT/GUARDIAN CONDUCT POLICY
Members, and the parents or legal guardians of minor members, agree to follow all Academy rules, safety policies, etiquette standards, and instructor directions at all times.
The Academy maintains written Rules and Etiquette Guidelines designed to protect the safety, professionalism, and training environment of the school. These rules may be updated or modified from time to time and will be made available to members through the member app, posted policies, or other official communication.
Members and parents/guardians agree to comply with all current and future Academy rules and policies.
The Academy reserves the right, at its sole discretion, to impose disciplinary action for conduct that includes but is not limited to behavior that:
• disrupts training or instruction
• endangers the safety of members, instructors, or guests
• violates Academy rules or safety policies
• demonstrates harassment, bullying, intimidation, or disrespect toward staff or members
• damages the reputation, property, or operations of the Academy
• interferes with the positive training environment of the Academy community
Parents and guardians of minor members also agree to support the Academy’s training environment and instructional structure by:
• refraining from interrupting or interfering with instruction
• avoiding coaching or directing students from the sidelines during class
• maintaining respectful behavior toward instructors, staff, and other members
• avoiding disruptive conversations or behavior that distracts from training
• reinforcing the values of discipline, respect, and sportsmanship taught during training
Disciplinary actions may include, depending on the severity of the conduct:
• verbal warning
• written warning
• temporary suspension of training privileges
• permanent termination of membership
The Academy reserves the right to determine the appropriate level of disciplinary action based on the circumstances of the violation.
Suspension or termination resulting from conduct violations does not entitle the member to a refund and does not cancel or reduce the member's financial obligations under this agreement.
Members who are suspended or expelled for conduct violations remain responsible for all remaining contractual payments and obligations outlined in this agreement.
The Academy also reserves the right to refuse future enrollment or facility access to any individual whose conduct violates Academy standards.
RIGHT TO REFUSE OR REVOKE MEMBERSHIP
The Academy reserves the right, at its sole discretion, to deny, suspend, or revoke membership to any individual whose presence may pose a safety risk, legal risk, or disruption to the Academy community, staff, or members.
This may include, but is not limited to, individuals who:
• are under active criminal investigation involving violence, abuse, harassment, or illegal conduct
• have been indicted for or charged with serious criminal offenses
• have been convicted of felony offenses or crimes involving violence, abuse, or misconduct
• engage in conduct that may jeopardize the safety, reputation, or operations of the Academy
Members agree to notify the Academy if their legal status changes in a way that could impact their eligibility to train at the Academy.
The Academy reserves the right to determine, at its sole discretion, whether continued membership is appropriate under such circumstances.
If membership is denied, suspended, or revoked under this policy, the Academy reserves the right to terminate training privileges immediately.
Termination of membership under this section does not entitle the member to a refund and does not cancel the financial obligations of the membership agreement.
CLASS SCHEDULE AND FACILITY CLOSURES
The Academy reserves the right to modify class schedules, adjust programming, or temporarily close the facility when necessary, due to operational needs including, but not limited to:
• seminars or special events
• competitions or tournaments
• facility maintenance or renovations
• instructor training or staff development
• holidays
• severe weather or emergency conditions
• government orders or other circumstances beyond the Academy’s control
For safety and operational consistency, the Academy generally follows local government and local school system guidance for weather-related delays or closures.
The Academy observes closures on all federal holidays.
The Academy is also regularly closed during the following scheduled periods:
• The calendar week containing July 4th (Sunday through Saturday) for annual maintenance, facility improvements, and instructor training; optional open mat sessions may be offered during this period and do not count toward membership class limits
• Christmas Eve through New Year’s Day; optional open mat sessions may be offered during this period and do not count toward membership class limits
These scheduled closures are part of the Academy’s normal annual calendar and are already reflected in the tuition pricing structure.
Tuition is based on annual program enrollment and access to the Academy, not on the number of classes held in any specific week or month. Accordingly, no refunds, credits, or prorated adjustments will be issued for scheduled closures, holidays, weather-related cancellations, or schedule adjustments.
The Academy may provide optional open mat sessions, special training opportunities, seminars, or makeup classes at its discretion, but such offerings are not guaranteed.
LEGAL MATTERS
This agreement shall be governed by and interpreted in accordance with the laws of the State of Maryland.
Any dispute arising out of or relating to this agreement shall be brought exclusively in the courts of the State of Maryland located in the county where the Academy operates, and the parties agree to submit to the jurisdiction of those courts.
If any provision of this agreement is determined to be invalid, illegal, or unenforceable, the remaining provisions shall remain fully valid and enforceable to the maximum extent permitted by law.
This agreement constitutes the entire agreement between the parties regarding membership and supersedes any prior verbal statements, representations, or agreements.
SEVERABILITY - If any provision of this agreement is determined by a court of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be modified or severed only to the extent necessary to comply with applicable law, and all remaining provisions of this agreement shall remain fully valid and enforceable.
This agreement constitutes the entire agreement between the parties regarding membership and supersedes any prior verbal statements, representations, or agreements.
NOTICE OF CONSUMER RIGHTS
The Academy complies with the Maryland Health Club Services Act.

Members retain the right to cancel this agreement within seventy-two (72) hours of signing, excluding Sundays and legal holidays, by providing written notice to the Academy as outlined in this agreement.
INTELLECTUAL PROPERTY
LINEAGE BJJ® and CALVERT MMA ACADEMY® are protected intellectual property owned by their respective entities.
All Academy curriculum, instructional materials, training methods, written content, digital materials, videos, logos, trademarks, branding, and related materials are the exclusive property of Calvert MMA Academy LLC and Lineage BJJ LLC and are protected under applicable copyright, trademark, and intellectual property laws.
Unauthorized copying, recording, reproduction, distribution, publication, or commercial use of Academy materials, trademarks, or branding without prior written permission is strictly prohibited.

SIGNATURE AND ACKNOWLEDGMENT
By signing below, the Member and/or Signatory acknowledges that:
• they have read this agreement in its entirety and understand the terms and conditions contained herein
• they were given the opportunity to review the agreement prior to signing
• they had the opportunity to ask questions, and any questions they had were answered by Academy staff
• they understand the seventy-two (72) hour cancellation period described in this agreement and their right to cancel within that timeframe
• after the seventy-two (72) hour cancellation period expires, the agreement becomes legally binding according to its terms
Members agree that if they have any questions regarding this agreement, they will contact the Academy through the GymDesk member app so that communications are properly documented and accessible to Academy staff.
By signing below, the Member and/or Signatory acknowledges that they have read, understood, and voluntarily agree to the terms of this Membership Agreement and Promissory Note.
